Continental Carbon: International CSRC Investment Holdings Co., Ltd. and Continental Carbon Company Plan to Enter into A Joint Venture Agreement with Eco Infinic Co., Ltd for the Purpose of Establishing A Joint Venture

International CSRC Investment Holdings Co., Ltd. and its subsidiary Continental Carbon Company (CCC) plan to enter into a joint venture agreement with Eco Infinic Co., Ltd. (ECO) for the purpose of establishing a joint venture entity in the United States which is tentatively named ECO CSRC Infinic (?JV?). The JV plans to conduct recovered carbon black (rCB) business at CCC's plant located in Phenix, Alabama. Capital contribution to the JV: The Company: Cash of USD 12,500,000 in exchange for 21% of the JV's shares; CCC: Assets worth of USD 8,500,000 in exchange for 14% of the JV's shares; and ECO: Cash of USD 39,000,000 in exchange for 65% of the JV's shares. Trading counterparty and its relationship with the Company (if the trading counterparty is a natural person and furthermore is not a related party of the Company, the name of the trading counterparty is not required to be disclosed): Eco Infinic Co., Ltd.
